BACH ATLAS — TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your access to and use of the Bach Atlas platform and related services (the “Service”) provided by Bach Systems, Inc., a Delaware corporation (“Bach,” “we,” “us,” or “our”). By accessing or using the Service, you (“you,” “Customer,” or “User”) agree to these Terms.
IMPORTANT: THE SERVICE PROVIDES RESEARCH SUPPORT ONLY AND DOES NOT PROVIDE LEGAL ADVICE.
1) ELIGIBILITY; AUTHORIZED USERS
1.1 Professional Use. The Service is intended for use by licensed professionals (including attorneys) and professional users operating under attorney supervision, and other business users authorized by Customer.
1.2 Authority. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2) NO LEGAL ADVICE; NO ATTORNEY–CLIENT RELATIONSHIP
2.1 Research Support Only. The Service may generate summaries, checklists, citations, or other outputs. The Service does not provide legal advice, does not create an attorney–client relationship, and is not a substitute for independent legal analysis or professional judgment.
2.2 Verification Required. You are solely responsible for verifying all authorities, citations, and factual assumptions; confirming applicability to the relevant facts and jurisdiction; and complying with all professional and ethical obligations.
3) COVERAGE LIMITATIONS; JURISDICTION SCOPE
3.1 Jurisdiction-Limited Outputs. The Service is jurisdiction-limited. Coverage may initially focus on Florida and Florida municipal/county sources and may expand to other states over time.
3.2 Out-of-Coverage. If a query concerns a jurisdiction or topic outside configured coverage, the Service may return an “out of coverage” notice or an incomplete result.
3.3 No Guarantee of Completeness. Because availability and readability of official sources varies, the Service does not guarantee comprehensive, complete, or current coverage for any jurisdiction unless expressly agreed in writing.
4) OUTPUTS; ACCURACY; RELIANCE
4.1 Outputs May Contain Errors. Outputs may include inaccuracies, omissions, or outdated information. You agree not to rely on Outputs without independent verification.
4.2 Not a Substitute. Outputs are not a substitute for statutory text, ordinances, official records, court filings, legal counsel, or formal opinions.
5) CUSTOMER DATA; CONFIDENTIALITY; SENSITIVE INFORMATION
5.1 Customer Data. “Customer Data” includes queries, matter identifiers, uploads, documents, and metadata submitted to the Service.
5.2 Your Responsibilities. You represent you have all rights and permissions necessary to submit Customer Data. You agree not to submit information you are not authorized to share and to comply with confidentiality obligations, protective orders, court rules, and client agreements.
5.3 Security and Handling. Bach will use commercially reasonable measures to protect Customer Data; however, no system is completely secure and you acknowledge residual risk.
6) ACCEPTABLE USE
You will not:
(a) use the Service for unlawful purposes;
(b) attempt to reverse engineer, scrape, probe, disrupt, or bypass security controls;
(c) introduce malware or harmful code;
(d) use the Service to infringe or violate third-party rights;
(e) misrepresent Outputs as legal advice or as a definitive legal determination.
7) THIRD-PARTY SOURCES AND LINKS
The Service may reference or link to third-party sources (including government sites and ordinance libraries). Bach does not control third-party content and is not responsible for third-party availability, accuracy, or changes.
8) INTELLECTUAL PROPERTY
8.1 Bach IP. Bach retains all rights, title, and interest in the Service, including software, workflows, designs, and all related intellectual property.
8.2 Customer Data. Customer retains rights to Customer Data.
8.3 Limited License. Subject to these Terms, Bach grants Customer a limited, non-exclusive, non-transferable right to access and use the Service for Customer’s internal professional use.
9) FEES; SUBSCRIPTION TERMS (IF APPLICABLE)
If you purchase a subscription or sign an order form, those commercial terms (fees, payment schedule, term, renewals) will apply in addition to these Terms. In the event of a conflict, the order form controls for payment and subscription specifics.
10) DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. BACH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL BE COMPLETE OR CURRENT.
11) LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
11.1 No Indirect Damages. BACH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
11.2 Liability Cap. BACH’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO BACH FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12) INDEMNIFICATION (CUSTOMER)
Customer will indemnify and hold harmless Bach from claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from Customer’s misuse of the Service, violation of law, or breach of these Terms, except to the extent caused by Bach’s willful misconduct.
13) SUSPENSION; TERMINATION
13.1 Suspension. Bach may suspend access if we reasonably believe there is misuse, a security threat, or a violation of these Terms.
13.2 Termination. Customer may stop using the Service at any time. Bach may terminate access for material breach. Additional termination terms may apply under an order form.
14) CHANGES TO THE SERVICE AND TERMS
We may update the Service and these Terms from time to time. Material changes will be posted with an updated Effective Date. Continued use after changes constitutes acceptance.
15) GOVERNING LAW; VENUE
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Exclusive venue and jurisdiction will be the state or federal courts located in Delaware, unless the parties agree otherwise in a signed writing.
